The following is the text of an agreement made on 31 May 1907:
AN AGREEMENT made this thirty first day of May one thousand nine hundred and seven BETWEEN Frank Edwin MILES of Aldershot in the County of Southampton Furniture Dealer of the one part and Maud Elizabeth MILES of Aldershot aforesaid Spinster (Sister of the said Frank Edwin MILES) of the other part (Supplemental to (a) An Agreement or Articles of Agreement dated the thirteenth day of February one thousand nine hundred and six and made between Thomas MILES (therein described and now deceaeased) of the first part the same Frank Edwin MILES (Son of the said Thomas MILES of the second part and the said Maud Elizabeth MILES (daughter of the said Thomas MILES) of the third part and (b) an Indenture dated the thirtyfirst day of Octobeber one thousand nine hundred and six and made between James STEVENS of the one part and the said Maud Elizabeth MILES and Frank Edwin MILES of the other part being a Conveyance to the said Maud Elizabeth MILES and Frank Edwin MILES as Tenants in common of a piece of Land in York Road Aldershot for the sum of one hundred and sixty eight pounds and upon which buildings have since been erected by the said Maud Elizabeth MILES and Frank Edwin MILES
WHERAS the said Thomas MILES died on the Seventeenth day of February one thousand nine hundred and seven having by his Will dated the twenty second day of December one thousand nine hundred and two and bequeathed his Residuary Real and Personal Estate (and which included the Capital of one thousand pounds in the business belonging to the said Thomas MILES mentioned in the said Agreement of the thirteenth day of February one thousand nine hundred and six) Unto his Trustees and Executotors therein named Upon the trusts in the said Will mentioned and which Will was duly proved on the twentieth day of April one thousand nine hundred and seven AND whereas the share of Capital of the said Maud Elizabeth MILES mentioned in the said agreement of the thirteenth day of February one thousand nine hundred and six remains at the sum therein mentioned namely Six hundred and forty two pounds AND whereas the said Maud Elizabeth MILES has of her own initiation and will the view of assisting her Brother the said Frank Edwin MILES and of enabling him to (if he thinks fit) secure a New Partner in the before mentioned business or to sell the same agreed to accept from her brother
the said Frank Edwin MILES the sum of Five hundred pounds for all her share and interest in the said partnership now carried on by her the said Maud Elizabeth MILES conjointly with her brother the said Frank Edwin MILES and to forthwith retire from the said partnership and further to convey to her said brother all her estate and interest in the said piece of land and buildings erected thereon in York Road aforesaid NOW in consideration of the premises THE said Frank Edwin MILES and Maud Elizabeth MILES hereby mutually agree as follows:-
THE said Maud Elizabeth MILES shall as from the date hereof cease to be a Partner with the said Frank Edwin MILES under or by virtue of the said Agreement of the thirteenth day of February one thousand nine hundred and six
THE said Maud Elizabeth MILES undertakes and agrees to accept from the said Frank Edwin MILES the said sum of Five hundred pounds in full and complete discharge and satisfaction of all and every her claim and interest in the said partnership whether under or by virtue of the said Agreement of the thirteenth day of February one thousand nine hundred and six or otherwise and including all and every her share of Capital profits and goodwill And also in consideration of the same sum to convey to the said Frank Edwin MILES her undivided share and interest in the said Land and premises in York Road aforesaid
THE said Frank Edwin MILES undertakes and agrees to pay the said sum of Five hundred pounds so soon as the said Frank Edwin MILES shall secure another partner in or sell the said business or whenever required so to do by the said Maud Elizabeth MILES but until the said Maud Elizabeth MILES shall demand payment thereof the same shall remain in the said business and the said Frank Edwin MILES shall allow and pay her interest on the said sum at the rate of Five pounds percent per annum
THE said Frank Edwin MILES further undertakes and agrees to discharge the liability of the said Maud Elizabeth MILES for the proportion of the Capital of one thousand pounds which may be due from her to the Trustees and Executors of the Will of their late Father and Partner the said Thomas MILES and to indemnify her in respect of such payment
THE said Frank Edwin MILES further undertakes and agrees with the said Maud Elizabeth MILES To pay satisfy and discharge all existing and future debts and liabilities of the Partners in relation to the said business and to keep the said Maud Elizabeth MILES indemnified therefrom
THE said Frank Edwin MILES further undertakes and agrees with the said Maud Elizabeth MILES to discharge any incumbrances now existing upon the said Land and buildings in York Road aforesaid and to indemnify her therefrom
THE said Maud Elizabeth MILES undetakes and agrees to formally assign to the said Frank Edwin MILES all book debts now vested in her or to allow her name to be used (if need be) in any action for the recovery of such debts
